Terms of Service

1. Acceptance of Terms

By accessing or using Zwiron ("the Platform"), operated at zwiron.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Description of Service

Zwiron is a data movement platform that enables you to sync databases in real-time using self-hosted agents. The Platform consists of:

• Control Plane: A cloud-hosted dashboard for configuring, scheduling, and monitoring data sync jobs.
• Agent: A lightweight, self-hosted binary that runs inside your network and executes data movement operations.
• Connectors: Integration modules for databases, data warehouses, file storage, and streaming platforms.

3. Account Registration

You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must provide accurate and complete information and notify us immediately of any unauthorized use.

4. Subscriptions & Billing

Paid features are available through subscription plans. By subscribing, you agree to pay the applicable fees. Subscriptions renew automatically unless canceled before the renewal date. Fees are non-refundable except as required by law or as stated in our refund policy.

Fair Use

All plans include unlimited data movement (no per-row charges). However, connection and job limits apply per your plan tier. Exceeding your plan limits requires upgrading.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Platform
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble the control plane software
• Use the Platform to move data in violation of applicable data protection laws
• Resell or redistribute access to the Platform without authorization

6. Your Data

You retain all rights to your data. The Zwiron Agent processes data locally within your infrastructure. We do not access, store, or process the contents of your databases. You are responsible for ensuring that your use of the Platform complies with applicable data protection regulations.

7. Open Source Components

The Zwiron Agent, Engine, and Connector Framework are released under the MIT License. The control plane (Atlas) is source-available with a commercial license. Your use of open-source components is governed by their respective licenses.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. Enterprise customers may have specific SLA terms as part of their agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZWIRON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Zwiron from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Platform ceases immediately. We may suspend or terminate your account if you violate these Terms. Data associated with terminated accounts may be deleted after a reasonable retention period.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Zwiron operates, without regard to conflict of law provisions.
